Gonzalez Calvillo, December 13th, 2023 – We acted as counsel to Baja Aqua-Farms – leader in bluefin tuna farming, located in the crystal clear ocean waters of Baja California, México – and its shareholders, in the acquisition by certain Investor Consortium comprised of Cultiba Aqua LLC, affiliated entities of Continental Grain Company – a privately held global investor that invests in leading food and agribusiness companies in public and private markets – Equity Group Investments – a private investment firm founded over 50 years ago by Sam Zell – and Castle Harlan – a New York-based private equity firm that makes equity investments in middle-market companies – of certain equity interest in Baja Aqua-Farms.
The deal was particularly challenging given that Baja Aqua-Farms has underlying assets located in Mexico, the United States and Japan.
As such, the structure was thoroughly negotiated and required adjusting different concepts in order for the transfer formalities under Mexican law to be consistent with a New York Law-Governed stock purchase agreement. Furthermore, the deal was particularly challenging due to the number of legal and financial advisors in the transaction.
Finally, the transaction involved the negotiation and closing of highly complex documents.
