Antitrust
The Antitrust and Competition Practice is now a longtime standalone practice derived from the Constitutional Reforms, which opened monopolistic markets and created new business opportunities for local and global companies.
Along with such opportunities, companies are facing unprecedented challenges considering the increased competition oversight with the creation of new and stronger regulators, hefty criminal, administrative and civil penalties and numerous statutes and regulations issued.
We are at the forefront in antitrust and competition matters, with a dynamic blend of lawyers with private practice and public experience, as former officers from the Mexican Antitrust Commission (COFECE), which enables them to have a comprehensive understanding of the field.
The practice has developed expertise in:
- Providing legal counsel in all competition-related matters.
- Merger control procedures, including requests for pre-merger approval and negotiation of remedies in domestic and multi-jurisdictional transactions.
- Identification of risks and preparation of mitigation protocols, including training to executives with high exposure in antitrust matters.

- Abu Dhabi Investment Authority and TPG Capital in its acquisition of 22.2% of UPL Corporation shares for approximately USD $1.2 billion. The foregoing to finance UPL Corporation for the acquisition of Arysta Life Science Inc., a global provider of crop protection solutions for approximately USD $4.2 billion.
- Allergan PLC, in the USD $40.5 billion sale of its generics business, to Teva Pharmaceutical Industries, Ltd.
- Atlas Holdings LLC, in the acquisition of the Mexican Entities of LSC Communications, Inc., a global leader in the business of printing magazines, catalogues, books, direct mail products and in the manufacture of various office supplies, stemming from LSC’s voluntary bankruptcy proceeding before the United States Bankruptcy Court for the Southern District of New York.
- America Móvil in its USD $70 million co-investment with JC Decaux in its out-of-home advertising business.
- BIA Foods Investments in its USD $113 million acquisition of a processed food production business, through the acquisition of 100% of the capital stock of Grupo Industrial Suárez.

- Investigation for alleged cartel behavior in the market of hygiene products derived from cellulose, by advising Ontex on obtaining the benefits of the COFECE Immunity Program, in the investigation and trial-like procedures for monopolistic practice on baby diapers, feminine sanitary care and incontinence products.
- Transfer market for professional soccer players.
- Investigation for alleged cartel behavior in the market of maintenance, stabilization and/or protection services of road embankments in the highway section Cuernavaca-Acapulco.
- Investigation for alleged barriers-to-entry in the market of payment systems, for which its processing involves a clearinghouse for payments with credit or debit cards.
- Public service of freight rail transportation of chemical and/or petrochemical products in routes with origin and/or destination in the southern area of the state of Veracruz.
