AML, Anti-corruption and Compliance

The firm has a growing ABC and compliance multi-disciplinary practice which has been evolving in line with the national and international regulatory development on the subject. Our practice team is comprised of attorneys with corporate, transactional, regulatory and litigation expertise to offer creative and solid advice to our clients.

Our practice includes the design, drafting, review, and implementation of policies regarding compliance, ethics, anticorruption, whistleblowing, anti-bribery, best practices, gifts and hospitality, among others, as well as training of managerial teams and employees regarding those policies.

Moreover, we advise our clients in compliance matters on commercial transactions, including M&A, with a particular emphasis on specific, tailored compliance due diligence. Our team has experience advising our clients on compliance with FCPA, UKBA, OECD Anti-bribery Convention, as well as other international and local laws and regulations regarding anticorruption.

We provide support and advice to our clients through processes of investigations and reporting, including advice in connection with local implications for international companies which are under multi-jurisdictional investigation procedures.

Our practice also focuses on advising our clients on their relationships with third parties, including commercial partners, distributors, facilitators, and suppliers, to design customized risk protection structures against potential breaches to anticorruption and anti-bribery laws.

We guide our clients through the drafting and implementation of specific compliance, anticorruption, and ethics clauses to which all third parties dealing with our clients shall abide. Implementation of those clauses include monitoring of compliance and design of compliance certificates to be periodically issued by those third parties, as well as Know Your Client (KYC) formats and procedures.

In essence, we provide advice to create and implement robust protections to mitigate risks of corporate criminal, civil and administrative liability, which entail diverse sanctions such as fines, disbarment, prohibition to participate in public contracts and even imprisonment.

Our services are focused on providing companies and management with corporate governance tools to prevent compliance risks. We consider ABC as a culture to be adopted by companies and we offer solutions to help management, in-house counsels, and Compliance Officers to achieve that goal.

  • Google Mexico, a multinational American company specialized in products and services related with the Internet, Software, electronic devices, and other technologies.
  • Milbank LLP, a firm created in 1866, it has over 500 lawyers. Its practice areas include intellectual property, bankruptcy, private equity, insurance, and financial restructuring. It covers a wide range of industries including aviation, biotech, healthcare, pharmaceuticals, and technology.

  • Distribuidora Kroma (“Comex”), formed in 1990, is part of the non-durable goods wholesales industry, with a total of 1,730 employees generating USD$435 million in sales annually. 
Relevant matters: Investigations
    • Bobst North America, Inc. a company that is a part of the industry of commercial wholesalers of machinery, equipment, and supplies. It has a total of 76 subsidiaries and generates more than USD$90 million in sales.
    • Grupo Financiero Citibanamex, one of the largest financial services groups in Mexico, offers personal and business banking services, such as deposit accounts, mortgages, loans, investment funds and credit cards, as well as insurance and pension services operates in the United States, Mexico, and Europe, it was founded in 1889 and has over 5,000 employees.
    • Orient Overseas Container Line (OOCL), one of the leading international container shipping and logistic services companies.
    • Protein S.A. de C.V. (“Apotex”), founded in 1940, its line of business includes the manufacture of bulk organic and inorganic medicinal chemicals.
    • Thor Urbana, a company founded in 2012 and made up of 9 subsidiaries, is part of the real estate industry.
