Gonzalez Calvillo, October 27th, 2023 .- We represented AUO Corporation (“AUO”), a Taiwanese company world-leading innovator in display technologies and innovations, in the acquisition of 100% of the shares of Behr-Hella Thermocontrol GmbH (“Behr-Hella”), a joint venture between MAHLE Behr GmbH & Co. KG and HELLA GmbH & Co. KGaA, dedicated to climate control and thermal management for the automotive industry. Behr-Hella has numerous subsidiaries, covering many jurisdictions, as Germany, India, Bulgaria and Mexico.
With respect to Behr-Hella’s Mexican subsidiary, BHTC México S.A. de C.V. (“BHTC México”), GC provided AUO with holistic legal advice, in which various areas of the firm participated.
The operation was not only challenging due to its scope in multiple jurisdictions, but also due to the amount of the transaction, the number of areas involved, the time constraints in the delivery of the audit, and the regulatory complexity given the nature of the business.
