We acted as special Mexican counsel to Atlas Holdings in the acquisition of substantially all assets of LSC Communications, Inc. Atlas purchased LSC with the support of certain of LSC’s secured lenders through a combination of cash and a credit bid of obligations under LSC’s secured term loan facility and senior secured notes at the direction of the secured creditor group.
LSC is a leader in print and digital media solutions, it is the largest book producer in the United States and a leading company in printing, manufacturing and distribution services of office products.
This transaction required the support of our labor and employment, foreign trade and antitrust/competition team.
Our partners José Víctor Torres, Daniel Guaida (partner as of January 1, 2021) and Cristina Massa, along with counsel Luis Enrique Cervantes and associates Diego González Altamirano, Déborah Luengo Schreck, Rosa Elena Coto, Ana Quintero, Andrea Cordero, Emilio Hugues and Fernando de Buen were involved in this transaction.
