About

Rodrigo is partner at the firm and member of GCs Executive Committee. He has vast experience providing legal counsel to clients in local and cross-border transactions. Over the years, he specialized in project finance and infrastructure, private equity, corporate, joint ventures and strategic alliances, foreign investment and energy, oil, gas, and power generation.

A seasoned lawyer, Rodrigo has participated in multiple financing mechanisms involving project sponsorships, project finance, lending, syndicated facilities, and financial leases, as well as in multiple cross-border and local M&A transactions, including hydrocarbons deals, PPT state schemes and power generation projects.

Alongside private equity, project finance and infrastructure as his main areas of expertise, Rodrigo has significant experience in commercial lending and financing, general corporate and contractual structures, and government procurement matters. This in turn makes his multidisciplinary practice unique as he provides comprehensive advice to clients with his broader vision and deal-making approach.

Throughout his career, Rodrigo has led multiple multi-award-winning transactions, including the USD $1.1 billion simultaneous syndicated credit facility and Rule 144A/Reg S bond offering for the acquisition of InterGen’s business in Mexico, as well as the $850 million acquisition of Ventika I and Ventika II wind farm projects in Mexico.

Experience

  • Represented IENova (a Sempra Company), as borrower, in the Mexican law aspects of the multilateral green loan financing by IFC/Nadbank for the development of four solar projects in Mexico
  • Represented TAG Norte Holding (as issuer and borrower) and TAG Pipelines Norte (project developer), as well as the Sponsors (IEnova and Brookfield Infrastructure controlled companies), in the restructuring of the existing US$1.2 billion credit facility for the Los Ramones II Norte gas pipeline project, and the simultaneous issuance and placement of US$332 million of 5.04% Senior Notes due 2039 with private investors affiliated with Allianz Global Investors, through an innovative creditor/investor coexistence scheme developed for this transaction
  • Represented Citigroup, Sumitomo Mitsui Banking Corporation, BNP Paribas, JPMorgan Chase, and The Bank of Nova Scotia, acting as Joint Lead Arrangers and Joint Bookrunners in a simultaneous syndicated credit facility and a Rule 144A / Reg. S bond offering to allow private equity fund Actis to successfully complete its acquisition of global power-generation company InterGen’s business interests in Mexico, including the purchase of 2,200 MWs in operation with six combined-cycle power generation projects, a 155 MW wind project with partner IEnova, a 65-kilometer natural-gas pipeline, and 3 natural gas-compression stations, for an enterprise value of US$1.256 billion.  This is the first time that a project acquisition in Mexico of this size is executed with the use of bond proceeds. This transaction was named Best Infrastructure Financing in Mexico by Latin Finance in the Project & Infrastructure Finance Awards 2018
  • Represented IEnova, in the US$852m acquisition of the largest wind farm projects in Mexico, Ventika I and Ventika II, from Fisterra Energy, a Blackstone company (NYSE:BX)
  • Represented Pemex Transformación Industrial in the US$597m sale-leaseback transaction and financing of its ultra-low sulfur gasoline units in the Madero Refinery to First Reserve
  • Represented TAG Norte Holding and its sponsors, in the US$1.47 billion financing (including Senior and VAT facilities) for the 454 km Los Ramones Phase II-Norte Gas Pipeline Project
  • Represented PEMEX, PGPB (TAG) and PMI International, as sponsors, in the approximately US$1.1billion Los Ramones Phase II-South natural gas transportation pipeline. This deal was named “Americas Oil and Gas Deal of the Year” 2014 by Thompson Reuters
  • Represented a syndicate of international banks, in their US$300 million acquisition financing to Vopak and EneGas to purchase the Altamira II LNG facility
  • Represented Bunzl PLC, a FTSE listed company, in two separate acquisitions of 100% of Espomega, S.A. de C.V. and Proepta, S.A. de C.V., in multi-million-dollar transactions, representing the first direct acquisitions in Mexico by Bunzl
  • Represented Grupo Mexico, in a USD$127 million financing funded by INBURSA, for the acquisition of jack-up drilling rigs
  • Represented Commerzbank AG in the US$350 and €75 million financing facilities granted to the AMG Advanced Metallurgical Group
