About

Rosa Elena is counsel at Gonzalez Calvillo. She has been a member of the firm since 2002 and belongs to the M&A, Private Equity and Corporate Law practice areas. She has broad experience representing and advising in decision-making processes related to business and investment for a wide range of Mexican and foreign entities, startups, and capital investment funds, understanding and anticipating specific needs.

As a transactional lawyer, Rosa Elena has utilized her expertise to advise in the drafting, negotiation, structuring and execution of a multitude of structures related to stock purchases, asset purchases, corporate restructures, capitalization procedures, spin-offs, mergers, acquisitions, co-investments, strategic alliances, company incorporation matters, capital investment funds and trusts, among others.

Similarly, part of Rosa Elena’s practice entails advising private equity funds focused on investing in start-ups and technological development projects throughout the early stages, as well as in those in which a higher amount of capital is required due to the growth of the entity or new needs. Most recently, Rosa Elena has also taken part in divestiture procedures of such private equity funds. She has actively participated in a broad range of merger and acquisition procedures specializing in corporate matters and has been appointed as Secretary of several entities.
